1. Agreement to Terms

These Terms of Service ("Terms") govern your use of lerpaudio.com ("Website") and the purchase of digital audio plugins ("Products") operated by Lerp Audio, a sole proprietorship based in Germany ("we," "us," "our").

By accessing our Website or purchasing our Products, you agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Eligibility

You must be at least 18 years old to purchase our Products. Users between 13-17 years old may use our Website with parental or guardian consent but may not make purchases without adult authorization.

3. Products and Services

3.1 Digital Products
We sell VST3 and AU audio plugins compatible with Windows 10/11 and macOS 10.11 or higher. System requirements are specified on each product page.

3.2 License Grant
Upon purchase, you receive a non-exclusive, non-transferable license to use the purchased plugin(s) in accordance with the End User License Agreement (EULA) provided with the software.

3.3 License Keys
Products are activated using serial/license keys provided after purchase. You are responsible for keeping your license key secure and confidential.

3.4 Demo Versions
We may offer demo or trial versions of our plugins in the future. Demo versions are provided "as-is" and may have limited functionality or time restrictions.

4. Payment and Billing

4.1 Payment Processing
All payments are processed by Paddle.com Market Ltd ("Paddle"), our Merchant of Record. Paddle handles all payment processing, invoicing, VAT/sales tax collection, and compliance.

4.2 Pricing
Prices are displayed in various currencies and include applicable VAT/sales tax where required. Final pricing is determined at checkout by Paddle.

4.3 Payment Methods
We accept payment methods supported by Paddle, including major credit cards, PayPal, and other regional payment options.

5. Delivery

5.1 Digital Delivery
Products are delivered digitally via download link and license key sent to your email address immediately after successful payment.

5.2 Access
You are responsible for downloading your product within the provided access period. Please contact us if you need assistance accessing your purchase.

6. Refunds and Cancellations

Please refer to our separate Refund Policy for detailed information. In summary, we offer a 14-day satisfaction guarantee for all purchases.

7. Intellectual Property

7.1 Ownership
All Products, including software code, audio content, graphics, documentation, and related materials, are protected by copyright and intellectual property laws. We retain all rights, title, and interest in our Products.

7.2 Restrictions
You may NOT:

Reverse engineer, decompile, or disassemble our software
Redistribute, resell, or share your license keys
Remove or modify any copyright notices
Use the software beyond the scope of your license

8. User Accounts

Currently, we do not require user accounts for purchases. Should we implement user accounts in the future, you will be responsible for maintaining the confidentiality of your account credentials.

9. Website Use

9.1 Acceptable Use
You agree to use our Website only for lawful purposes and in accordance with these Terms.

9.2 Prohibited Activities
You may NOT:

Attempt to gain unauthorized access to our systems
Transmit viruses, malware, or harmful code
Engage in any activity that disrupts or interferes with our services

While we specify system requirements, we do not guarantee compatibility with all DAWs, operating system configurations, or hardware setups. We recommend testing with demo versions when available.

11.3 Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising from your use of our Products or Website.

11.4 Maximum Liability
Our total liability for any claim related to our Products or services shall not exceed the amount you paid for the specific product giving rise to the claim.

11.5 EU Consumer Rights
Nothing in these Terms affects your statutory rights as a consumer under EU and German law.

We may terminate or suspend your access to our Website or revoke your license if you breach these Terms.

13.3 Effect of Termination
Upon termination, you must cease all use of our Products and destroy all copies. Sections relating to intellectual property, disclaimers, limitation of liability, and governing law survive termination.

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use after changes constitutes acceptance of the modified Terms.

2. 14-Day Satisfaction Guarantee

2.1 Eligibility

You may request a full refund within 14 days of purchase if:

The product does not meet your expectations
The product does not work as described
You experience technical issues that cannot be resolved
You are not satisfied for any reason

2.2 How to Request a Refund

Brief reason for refund (helps us improve)

2.3 Processing Time

We respond to refund requests within 48-72 business hours
Approved refunds are processed by Paddle within 5-10 business days
Refunds are issued to your original payment method

3. EU Right of Withdrawal

3.1 Consumer Rights

Under EU consumer protection law, you have a 14-day right of withdrawal for online purchases.

3.2 Important Exception for Digital Content

By downloading our software, you expressly agree to immediate performance of the contract and acknowledge that you thereby waive your right of withdrawal for that specific purchase (as permitted under EU Consumer Rights Directive 2011/83/EU, Article 16(m)).

3.3 Our Guarantee Replaces This

Even though you waive the statutory right by downloading, our 14-day satisfaction guarantee provides the same (or better) protection, as we accept "change of mind" returns.

4. Technical Issues

4.1 Support First

Before requesting a refund due to technical issues, please contact us at questions@lerpaudio.com. Many issues can be resolved quickly with our support team.

4.2 Compatibility

Refunds due to compatibility issues are granted if:

Your system meets our stated minimum requirements
The issue cannot be resolved through support

We recommend testing with demo versions when available to avoid compatibility issues.

5. What Happens After Refund

5.1 License Deactivation

Upon refund approval:

Your license key will be deactivated
You must uninstall the software
You must cease all use of the product

5.2 Project Files

You may retain audio projects created with our plugins, but should bounce/freeze tracks to audio before uninstalling.

6. Exclusions

Refunds may be denied or limited for:

Abuse: Repeated refund requests suggesting abuse of the policy
Chargebacks: If you initiate a chargeback instead of requesting a refund properly
Beyond 14 Days: Requests made more than 14 days after purchase (discretionary exceptions may apply)
License Key Sharing: If we detect license key sharing or violation of Terms of Service

7. Upgrades and Discounts

7.1 Upgrade Credits

If you purchased a product and later upgrade to a bundle or higher version, the original purchase price may be credited toward the upgrade (contact us).

7.2 Sale Prices

Products purchased during sales/promotions are eligible for refunds under the same 14-day policy. Refund amount will be the actual amount paid.

8. Payment Processor

Since Paddle is our Merchant of Record, they process all refunds. You may see the refund credited by "Paddle.com" on your statement.
